CONSTITUTIONAL STRUCTURES

FABCOS has a National Constitution that governs its internal policy affairs. There are 9 constitutionally created structures within FABCOS:

  • FABCOS Council
  • Bridge the gap between the first and second economies.
  • The National Council and its Executive and other Standing Committees
  • Business Council
  • Provincial Executive Committees
  • Board of Patrons

1. The FABCOS Council

The FABCOS Council is the supreme body of FABCOS. It combines the Business Council of FABCOS, the NEC and the National Council. In total 16 to 21 people sit on the FABCOS Council.

2. The National Council

The National Council is responsible for all policy matters of FABCOS. It is made up of the Chairpersons of the 9 Provinces and the President of the Organization. The National Executive Committee [NEC] is a committee of 4 formed by the National Council and the Business Council and derives its powers from the FABCOS Council. The NEC is responsible for managing the day-to-day affairs of FABCOS.

Standing Committees of the National Executive Committee are created in terms of the constitution. The standing committees are: Policy and Strategy, the Finance and Audit Committee, the Membership Administration Committee and the Disciplinary Committee.

3. The Business Council

The FABCOS Business Council is responsible for all business and commercial matters of FABCOS. It is made up of all Executive Directors, Chief Executive Officers and Chairpersons of all the companies and investment vehicles of FABCOS. These include FABVEST (Pty) Ltd., FABCOS Enterprises (Pty) Ltd., FABCOS National Ko-operasie, FABCOS Construction (Pty) Ltd., FABCOS Apparel (Pty) Ltd, FABCOS Distribution Network (Pty) Ltd and FABCOS Leisure and Travel (Pty) Ltd. Because all the companies are largely owned by the FABCOS Trust (where FABCOS members are direct beneficiaries), the Trust is also represented on the Business Council. The Council is chaired by the President of FABCOS. The companies are separate legal Business Entities, each with its own Board of Directors.

Provincial Executive Committees

The Constitution provides for the creation of a National Electoral College and 9 Provincial Electoral Colleges [One per Province]. The National Electoral College which is constituted by two Office Bearers per province (the Provincial Chairperson and Provincial Secretary), convenes every three (3) years to elect the National Executive Committee.
The Provincial Electoral Colleges consist of two (2) elected members from each of the 9 sectors of FABCOS in each Province. Provincial Electoral Colleges each elect a Provincial Executive Committee once every three years.

4. Board of Patrons

The Board of Patrons is a reservoir of the wisdom garnered by the organization over the years. Former leaders that are seen to have made a significant contribution to the organization are appointed by an incumbent President to the Board of Patrons. The Board gives advisory support to the FABCOS Council and the President and undertakes projects assigned by the President from time to time.
